Acceptance of terms
These Terms of Service (the "Terms") constitute a legal agreement between you ("User", "Customer" or "you") and Nexiu AI, LLC ("Nexiu", "we" or "our"), a company organized under the laws of the State of Delaware, United States of America, with address at 2875 NE 191st St., Aventura, FL 33180.
By accessing or using Nexiu's website, platform and services (the "Services"), you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

Description of the Services
Nexiu offers an AI-assisted recruiting platform and professional services related to sourcing, evaluation and placement of talent for business customers.
We reserve the right to modify, suspend or discontinue any part of the Services at any time, with or without notice, without liability to the User.
Eligibility
To use the Services, you represent and warrant that:
- →You are at least 18 years of age
- →You have the legal capacity to enter into binding contracts
- →The information you provide is true, accurate and current
- →You will use the Services in accordance with these Terms and applicable law
User accounts
4.1 Registration
- →You must provide accurate and complete information when registering
- →You are responsible for maintaining the confidentiality of your credentials
- →You must promptly notify us of any unauthorized use of your account
4.2 Responsibility
- →You are solely responsible for all activity performed under your account
- →We may suspend or terminate accounts that breach these Terms
Plans, pricing and payments
5.1 Plans and billing
- →The Starter and Professional plans do not require a minimum commitment when paid by credit card
- →Prices are shown in US dollars (USD). At checkout you may choose to pay in USD or in your local currency, based on our payment processor's exchange rate
- →Applicable fees will be those in effect at the time of contracting or renewal
5.2 Renewals
- →Subscriptions renew automatically at the end of each cycle unless cancelled beforehand
- →The amount will be charged to the payment method on file
5.3 Taxes
- →Prices do not include applicable taxes, withholdings or duties, which shall be borne by the User
5.4 Non-payment
- →Failure to pay may result in the suspension or cancellation of the Services
Cancellation and refunds
6.1 Cancellation by the User
- →You may cancel your subscription at any time from your account or by writing to contact@nexiu.ai
- →Cancellation takes effect at the end of the current billing cycle
6.2 Refund policy
Refunds are calculated on a pro-rata basis:
- →Where applicable, refunds will correspond to the unused portion of the paid period
- →Refunds are processed to the original payment method within up to 30 days
- →No refunds are granted for professional services already performed or placement fees already earned
6.3 Cancellation by Nexiu
- →We may cancel or suspend the Services in case of material breach, misuse, fraud or legal requirement
Acceptable use
You agree not to:
- →Use the Services for unlawful, fraudulent or unauthorized purposes
- →Infringe intellectual property or privacy rights of third parties
- →Upload malicious content, viruses or harmful code
- →Interfere with the security, integrity or availability of the Services
- →Reverse engineer, decompile or attempt to access the source code
- →Use the Services to post discriminatory or misleading job offers
- →Scrape data in an automated way without express authorization
User content
You retain all rights to the content you submit to the Services (e.g., job descriptions, candidate information, feedback).
By submitting content, you grant Nexiu a worldwide, non-exclusive, royalty-free license to use, host, reproduce and process it solely for the purpose of providing and improving the Services.
You are solely responsible for the content you submit and for having the legal authorizations required to do so.
Intellectual property
The Services, including software, models, trademarks, logos, designs and documentation, are owned by Nexiu or its licensors and are protected by intellectual property laws.
These Terms do not grant you any rights over Nexiu's trademarks, patents or copyrights beyond the limited, revocable and non-exclusive license to use the Services in accordance with these Terms.
Third-party services
The Services may integrate or interoperate with third-party services (e.g., payment processors, communication platforms, AI providers). Such services are governed by their own terms and policies.
Nexiu is not responsible for the availability, content or practices of such third parties.
Privacy
The processing of personal data is governed by our Privacy Policy, which is an integral part of these Terms.
Disclaimer of warranties
The Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied.
To the maximum extent permitted by law, Nexiu disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free availability.
Nexiu does not guarantee specific hiring outcomes or the performance of candidates presented. Hiring decisions are the sole responsibility of the Customer.
Limitation of liability
13.1 Exclusions
- →To the maximum extent permitted by law, Nexiu shall not be liable for indirect, incidental, special, consequential or punitive damages
- →Nexiu shall not be liable for lost profits, revenue, data, opportunities or reputation
13.2 Aggregate cap
- →Nexiu's total aggregate liability arising out of or related to the Services shall be limited to the total amount actually paid by the User to Nexiu in the three (3) months immediately preceding the event giving rise to the claim
13.3 Exceptions
The above limitations do not apply in cases of:
- →Willful misconduct or gross negligence
- →Liabilities that cannot be excluded by law
Indemnification
You agree to indemnify, defend and hold Nexiu, its officers, employees and agents harmless from any claim, loss or expense (including reasonable legal fees) arising from:
- →Your use of the Services
- →Breach of these Terms
- →Violation of third-party rights
- →The content you submit through the Services
Changes to the Terms
Nexiu may modify these Terms at any time. Material changes will be notified at least fifteen (15) days in advance by email or notice on the platform.
Continued use of the Services after the effective date of the changes constitutes your acceptance of them.
Termination
These Terms remain in effect while you use the Services. Nexiu may terminate or suspend your access immediately, without notice, if you breach any provision of these Terms.
Upon termination, all rights granted to you will cease; sections that by their nature should survive termination will remain in effect.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws provisions.
Any dispute arising out of or related to these Terms shall be submitted to the exclusive jurisdiction of the ordinary state or federal courts located in the State of Delaware, and the parties waive any other jurisdiction that may correspond to them.
Force majeure
Nexiu shall not be liable for delays or non-performance arising from causes beyond its reasonable control, including natural disasters, government actions, war, pandemics, internet failures or third-party provider failures.
General provisions
19.1 Entire agreement
- →These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Services.
19.2 Severability
- →If any provision is deemed invalid, the remaining provisions will remain in full force.
19.3 Assignment
- →You may not assign these Terms without Nexiu's prior written consent. Nexiu may assign them freely.
19.4 No waiver
- →Failure to enforce a right shall not constitute a waiver of it.
19.5 Language
- →In case of conflict between the Spanish version and other translations, the Spanish version shall prevail.
